Revised End User License Agreement for My Tech Media

The following End User License Agreement (“EULA”) establishes a legally binding contract between you, the User utilizing My Tech Media’s Search Technology (referred to as “You” or the “User”), and My Tech Media Ltd (referred to as “My Tech Media,” “us,” or “we”). My Tech Media is the rightful owner of diverse browser add-on extensions and other search products (collectively known as the “Search Technology”) developed or licensed by us. This EULA outlines the terms and conditions governing the User’s use of My Tech Media’s Search Technology, including its associated features.

BY INSTALLING AND UTILIZING THE SEARCH TECHNOLOGY, YOU SIGNIFY YOUR ACCEPTANCE OF THIS EULA, WHICH INCLUDES THE TERMS OUTLINED IN OUR PRIVACY POLICY. YOU ACKNOWLEDGE THAT YOU HAVE CAREFULLY READ AND COMPREHENDED THE EULA, WHICH CONSTITUTES A LEGALLY BINDING AND ENFORCEABLE AGREEMENT BETWEEN YOU AND MY TECH MEDIA. FURTHERMORE, YOU AGREE TO ABIDE BY THIS EULA AND COMPLY WITH ALL RELEVANT LAWS AND REGULATIONS GOVERNING YOUR USAGE OF THE SEARCH TECHNOLOGY. IF YOU DO NOT AGREE WITH THE TERMS OF THIS EULA, PLEASE REFRAIN FROM INSTALLING OR USING THE SEARCH TECHNOLOGY IN ANY MANNER. ADDITIONALLY, YOU MUST UNINSTALL THE SEARCH TECHNOLOGY FROM YOUR DEVICE, WHERE APPLICABLE.

OUR PRIVACY POLICY

For the purpose of delivering the services of the Search Technology, My Tech Media may collect and process specific information related to the User’s utilization of the Search Technology. We strongly encourage the User to review our Privacy Policy, available at www.searchpwr.com/privacy, prior to using the Search Technology.

The services provided by our Search Technology

My Tech Media presents the Search Technology, an offering designed to grant you access to enhanced search capabilities. By installing the Search Technology, certain changes may be made to your browser’s search settings, new tab settings, and other associated features provided by our Search Technology. Furthermore, the Search Technology offers direct web search functionality and additional advanced features. Additionally, the Search Technology Services may include targeted advertisements based on your search activities.

OUR LICENSE GRANTED

My Tech Media provides you with a limited, non-exclusive, non-transferable, non-sub-licensable, and fully revocable License to utilize the Search Technology. By acknowledging this License, you understand that it is contingent upon your adherence to the EULA and is intended solely for your non-commercial, personal use and objectives. It is important to note that My Tech Media does not confer any additional rights to you concerning the Search Technology. All rights not expressly granted under this EULA are reserved by My Tech Media.

INTELLECTUAL PROPRIETARY

All property rights, encompassing intellectual property rights, interests, and titles, associated with the Search Technology, including logos, trade names, trademarks, and any forms of modifications, know-how, derivative works, ideas, inventions, methods, rights in software and code (such as source and object code), are and will continue to be the sole and exclusive property of My Tech Media or our licensors.

THIRD PARTIES’ CONTENT

It is important to clarify that the Search Technology may include content from third parties as well as links to external websites, applications, technologies, search results, advertisements, and other features that are beyond our control or responsibility (referred to as “Third Parties’ Content”). When accessing or engaging with such Third Parties’ Content, please note that you will be subject to their respective terms of use and privacy policies, which we encourage you to review.

It is essential to understand that My Tech Media is not accountable for the availability and accuracy of Third Parties’ Content, and we are not obligated to monitor them. We assume no responsibility or liability in any way for such Third Parties’ Content. The inclusion of Third Parties’ Content in the Search Technology and Search Technology Services should not be interpreted as an endorsement by My Tech Media.

WARRANTIES AND REPRESENTATIONS

By accepting these EULA, you warrant, represent, and commit to complying with these terms and conditions, as well as all relevant laws, regulations (including administrative guidelines), and any other applicable third-party terms and conditions.

It is essential to understand that My Tech Media is not accountable for the availability and accuracy of Third Parties’ Content, and we are not obligated to monitor them. We assume no responsibility or liability in any way for such Third Parties’ Content. The inclusion of Third Parties’ Content in the Search Technology and Search Technology Services should not be interpreted as an endorsement by My Tech Media.

Furthermore, you warrant, represent, and undertake not to permit, encourage, or authorize any third party to engage in the following activities:

Use the Search Technology and Search Technology Services in a manner that disables, circumvents, or interferes with their security-related features, or hinders others from using them.
Use the Search Technology and Search Technology Services in any way that is unlawful, or promotes or advocates illegal activities.
Modify, reproduce, or create derivative works from the Search Technology and Search Technology Services, or any part thereof.
Use the Search Technology and Search Technology Services to conduct, promote, or contribute to fraudulent, illegal, or otherwise inappropriate activities.
Remove, deface, or alter the Search Technology and Search Technology Services, or any part thereof.
Use the Search Technology and Search Technology Services in a manner that is unauthorized or prohibited by these EULA.
Resell, sublicense, rent, assign, or transfer any rights to the Search Technology and Search Technology Services, or commercially exploit the Service.
Use the Search Technology and Search Technology Services in any manner that infringes, misuses, or interferes with any copyright, trademark, or other intellectual property rights.
Use or attempt to use or access the Search Technology and Search Technology Services through automated means, including crawling, scraping, caching, or similar methods.
Violate these EULA or any applicable local, state, national, or international laws or regulations.
Copy, sell, sublicense, distribute, lease, rent, assign, or share any rights to the Search Technology and Search Technology Services, the License granted herein, or any other form of exploitation of the Search Technology and Search Technology Services.
Use the Search Technology or the Search Technology Services in a manner that disables, circumvents, or interferes with their security-related features, or degrades their performance.
Assert any rights, including proprietary rights, in or to the Search Technology and Search Technology Services, or any element or content thereof, or remove, modify, or obscure any notices of proprietary rights.
Use the trade names or trademarks of My Tech Media without prior written approval.

My Tech Media reserves the right, at its sole discretion, to suspend or terminate your use and access to the Search Technology and Search Technology Services in the event of any breach of the EULA. It is important to note that a breach of the EULA may also lead to civil and criminal liability under applicable laws.

LIMITATION OF LIABILITY

YOU ACKNOWLEDGE AND AGREE THAT MY TECH MEDIA, ITS AFFILIATES, AND THEIR RESPECTIVE SHAREHOLDERS, OFFICERS, EMPLOYEES, DIRECTORS, AGENTS, DISTRIBUTORS, VENDORS, AND THIRD-PARTY LICENSORS (COLLECTIVELY “MY TECH MEDIA’S AFFILIATES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SEARCH TECHNOLOGY OR SEARCH TECHNOLOGY SERVICES. THIS INCLUDES, BUT IS NOT LIMITED TO, LOST PROFITS OR DATA, DAMAGES TO EQUIPMENT, AND OTHER SIMILAR DAMAGES, EVEN IF MY TECH MEDIA OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MY TECH MEDIA AND ITS AFFILIATES BE LIABLE FOR ANY CLAIMS OR DAMAGES EXCEEDING THE ACTUAL PRICE PAID BY YOU FOR YOUR USE OF THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES, OR TEN US DOLLARS, WHICHEVER IS LESS.

WARRANTY AND DISCLAIMER

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES IS SOLELY AT YOUR OWN RISK. WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SECURITY OF THE INFORMATION YOU PROVIDE OR THE ACTIVITIES YOU ENGAGE IN WHILE USING THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES. SUBJECT TO APPLICABLE LAW AND THE PROVISIONS OF THE EULA, THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
WE DO NOT PROVIDE ANY WARRANTIES OR REPRESENTATIONS, WHETHER EXPRESS OR IMPLIED, REGARDING THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES AND YOUR USE THEREOF. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, SECURITY, COMPATIBILITY, NON-INFRINGEMENT, OR COMPLETENESS OF RESPONSES, RESULTS, AND LACK OF NEGLIGENCE. WE DO NOT GUARANTEE THAT THE SEARCH TECHNOLOGY OR SEARCH TECHNOLOGY SERVICES ARE OR WILL BE FREE OF HARMFUL CODE, NOR DO WE GUARANTEE THAT THEY WILL BE ERROR-FREE OR FREE OF BUGS. WE DO NOT WARRANT THAT WE WILL TAKE CORRECTIVE ACTION FOR ANY ERRORS IN THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES.
YOU AGREE THAT WE WILL NOT BE RESPONSIBLE FOR ANY DECISIONS MADE OR NOT MADE BY YOU, OR ACTIONS TAKEN OR NOT TAKEN BY YOU, IN RELIANCE ON THE SEARCH TECHNOLOGY AND SEARCH TECHNOLOGY SERVICES. FURTHERMORE, WE DO NOT ASSUME ANY RESPONSIBILITY FOR ANY DAMAGES, INJURIES, OR LOSSES INCURRED AS A RESULT OF OR IN CONNECTION WITH SUCH ACTIONS. WE MAKE NO REPRESENTATION THAT THE SEARCH TECHNOLOGY OR SEARCH TECHNOLOGY SERVICES ARE OR WILL BE AVAILABLE FOR USE IN ANY LOCATION OR AT ANY GIVEN TIME.

TERMINATION

You have the option to terminate your use of the Search Technology and Search Technology services at any time and for any reason. If you decide to terminate, you can remove the Search Technology from your device by following the uninstall procedure through your browser’s settings.
Upon termination, the License will be automatically terminated as well.
We reserve the right to change, modify, suspend, or discontinue any aspect of the Search Technology and Search Technology services at any time, without notice to you. Such changes or modifications do not create any liability on our part towards you.

INDEMNIFICATION

You agree to defend, indemnify, and hold My Tech Media’s Affiliates harmless from any and all claims, damages, expenses, liabilities, losses, judgments, and related costs (including reasonable attorney’s fees) that may arise as a result of your breach of the EULA.

UPDATES

We reserve the right, at our sole discretion, to update or modify the EULA, including any other policies incorporated into it, at any time. Any updates to the EULA will become effective upon the publication of the updated version, and your continued use of the Search Technology and Search Technology Services will be considered as your acceptance of the updated EULA. The “Last Modified” heading located at the top of the EULA will indicate the date of the last version. It is your responsibility to review and become familiar with any modifications. If there are material modifications that will affect your rights, we will make reasonable efforts to provide you with a notice.

MISCELLANEOUS

• The Search Technology and the Search Technology Services are not intended for children under the age of 16, or for users who are defined as “children” according to the applicable law in their jurisdiction. You represent and warrant that you are eligible to enter into the EULA and that you have all the necessary authorization to do so.
• The EULA represents the entire agreement between the parties concerning the Search Technology and the Search Technology Services. If any provision of the EULA is determined to be invalid or unenforceable by a court, the remaining provisions will remain valid and in full force and effect.
• The EULA, its performance, and the Search Technology and the Search Technology Services shall be governed by, construed, and enforced in accordance with the laws of the state of Israel, without giving effect to principles of conflicts of law or provisions that would result in the application of the laws of any other jurisdiction. The parties agree that any dispute, claim, or controversy arising from or relating to the EULA and the Search Technology and the Search Technology Services shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel. Any claims related to the Search Technology and the Search Technology Services must be brought within twelve (12) months and will be barred thereafter.
• You may not assign or transfer any rights under the EULA. My Tech Media has the sole right to assign its rights and obligations under the EULA to a third party at its discretion.
• My Tech Media’s failure to enforce any rights or provisions in the EULA shall not be deemed as a waiver of such rights or of subsequent actions in the event of future breaches.
• My Tech Media shall not be considered in breach of the EULA if it is unable to provide the Search Technology, the Search Technology Services, or any other rights due to events beyond its control, such as national emergencies, earthquakes, fires, riots, floods, storms, acts of God, labor disputes, wars, global pandemics, insurrections, or other events.
